ARTICLE I - Name  

Sec 1.  The name of the organization is CIRCUS CITY CYCLISTS, hereinafter referred to as the "CCC".

ARTICLE II - Mission Statement

Sec 1.  The CCC bicycle club was created to promote the general interest and enjoyment of bicycling for health, recreation, and economical transportation.  To this end, the CCC will facilitate and conduct tours, outings and races, promote better bicycle riding conditions, and will advocate and advance safe and proper riding techniques.

Sec 2.  The CCC will also endeavor to educate and inform local public officials and the general public about bicycling related issues.

ARTICLE III - Membership

Sec 1.  Individual membership is available to individuals who properly complete an application form and pays the annual dues.  Applicants under eighteen (18) years of age must have the signature of one parent or legal guardian on the application.

Sec 2.  Family membership is available to all persons (maintaining the same legal residence) who properly complete an application and pays the annual dues.  At least one member of a family as described above must be at least eighteen (18) years of age, and his/her signature must accompany the application.

Sec 3.  Voting privileges are granted to all active individual and family members at least eighteen (18) years of age whose dues are paid in full for the current calendar year by the night of the vote in question.  These privileges apply to the election of officers as well as to general issues brought before the membership during a regular meeting.

Sec 4.  Rights and Privileges shall be extended equally to all members in accordance with these by laws.

Sec 5.  The membership roster of the CCC shall not be released to any person, group, or organization unless the name and address of any member who requested that his/her name not be released has been deleted from the roster.

Sec 6.  Each member is responsible for maintaining his/her bicycle in a safe operating condition.

Sec 7.  All members (and participating non-members) shall wear ANSI or SNELL approved helmet when riding in any CCC sponsored event.

ARTICLE IV - Dues

Sec 1.  The amount of dues for individual and family memberships shall be voted upon annually by the current membership.

Sec 2.  All CCC member dues are due on 1 January of the new calendar year with a grace period through January 31.

Sec 3.  New members who join after the 1 January date will have their dues pro-rated according to the date they join - using the first day of each month as the pro-rate date.

ARTICLE V - Meetings

Sec 1.  Regular meetings shall be conducted on the second Monday of every month at 7:30 PM at a place approved by the Executive Board and/or the membership (currently the basement area of the First Christian Church).

Sec 2.  Meetings shall be conducted by the President, or in his absence, the Vice-President.  In the event that both President and Vice can not attend, the Secretary shall conduct meetings.

Sec 3.  All issues brought before the membership at the regular monthly meetings shall be decided by a simple majority vote of the members present.

ARTICLE VI - Officers

Sec 1.  The officers of the CCC shall consist of the positions of:

                            PRESIDENT

                            VICE-PRESIDENT

                            SECRETARY

                            TREASURER

Sec 2.  Officers shall be elected annually, for one-year terms, by the membership.

a.  Terms will begin January 1 and end December 31.

Sec 3.  Duties and power of Officers

a.       President:  The president shall preside at all meetings of the CCC. The President shall have such powers and such duties as the CCC may prescribe.

b.      Vice-President:  It shall be the duty of the Vice-President to perform the duties and execute the powers of the President in his/her absence, and to perform such duties as the CCC or President may prescribe.

c.       Secretary:  It shall be the duty of the Secretary to keep minutes of all meetings of the CCC, to issue prior notices of all such meetings, to perform all other duties which are incident to the office of the Secretary, and to perform other such duties and have other such powers as the CCC or President may prescribe.

d.      Treasurer:  Working under the guidelines and policies established by the CCC, it shall be the duty of the Treasurer to collect all moneys due the CCC, to have custody of the funds of the CCC, to place such funds in such depositories as may be necessary, to approve payment of all bills against the CCC, and to submit to the CCC a monthly report of the financial condition of the CCC, including its receipts and disbursements.  The Treasurer shall carry out all other duties, which are incident to the office of Treasurer, and shall perform such other duties and have other such power as the CCC may prescribe.

Sec 4.  The Officers shall also serve as the CCC's Executive Board.

a.       The Executive Board is empowered to decide issues and act on behalf of the CCC.

b.      All issues before the Board shall be resolved through a majority vote.  In the event of a tie vote, the membership at the next monthly meeting shall decide the issue by a majority vote.

c.       The President shall preside over all meetings of the Board.

d.      Executive Board meetings shall be held on an "as needed" basis.

e.       The President through the Secretary shall provide adequate notice of meetings to all officers allowing reasonable opportunity for all to attend.

f.        Vacancies within the Executive Board shall be filled by appointment by the President.

Sec 5.  No Officer shall receive compensation for services rendered, but may receive reimbursement for the actual costs and expenditures made in the pursuit of CCC business, subject to approval by the membership and/or the Executive Board.

ARTICLE VII - Elections

Sec 1.  Election of Officers shall be held at the December CCC meeting.  All CCC members in good standing are eligible to vote.

Sec 2.  The candidate (in each office) with the highest number of votes shall be deemed to be elected.  In the event of a tie vote, the tied candidates shall decide the winner by a coin toss.

Sec 3.  Nominations for Officer candidates may be submitted by any CCC member in good standing (any member in good standing may self-nominate).  Nominations shall be submitted to the Secretary no earlier than October 1st.  Any member in good standing is eligible to be nominated.  Nominations shall be accepted until the start of the December meeting.

Sec 4.  There are no term limits.  A candidate may succeed himself/herself.

ARTICLE VIII - Expenditures

Sec 1.  Any matter that involves the expenditure of CCC funds, or obligation to expend, is subject to approval by the membership, and/or approval by the Executive Board.

ARTICLE IX - Affiliations

Sec 1.  CCC shall maintain membership in other bicycling organizations, as approved by the membership.

ARTICLE X - Amendment of the By Laws

Sec 1.  These By Laws may be amended, repealed, or altered in whole or in part and additional By Laws may be adopted by a majority vote of the Executive Board members.  In the event of a tie vote, the membership at the next monthly meeting shall decide the issue by a majority vote.  Members shall be notified of all By Law changes.
